CONCLUSION OF THE SALE<br\/>Any order for products placed with PECTA \u2013 Distribui\u00e7\u00e3o de Equipamentos, Unipessoal, Lda. (hereinafter referred to as \u201cPECTA\u201d), company registration and tax number 515672530, regardless of its origin, implies acceptance of these General Terms of Sale. These terms replace any other general terms of sale, irrespective of their wording, and override any conflicting clause that may appear in the buyer\u2019s contracts, documents or correspondence. <br\/>It is understood that any clause contained in the buyer\u2019s contracts, documents or correspondence that conflicts with the application of these General Terms of Sale shall be deemed null and void by PECTA. <br\/> <br\/>2. ACCEPTANCE OF ORDERS<br\/>Orders are processed subject to agreement on price, delivery conditions and quantity of items. <br\/> <br\/>3. PRICES<br\/>Product prices are determined according to the price list in force on the date the order is dispatched. These are commercial prices and are subject to the provisions of Article 2.<br\/>Prices are established on the basis of current economic conditions, and PECTA reserves the right to amend them at any time without prior notice should these conditions fluctuate.<br\/>4. PAYMENT TERMS<br\/>The only valid bank details of PECTA are those indicated on our invoices.<br\/>4.1. PAYMENT DEADLINE<br\/>Our invoices are dated on the next business day following dispatch. Where credit has been granted, invoices are payable by bank transfer within 30 days of their issue date.    <br\/>4.2. ADVANCE PAYMENT<br\/>A 0.3% discount is granted for advance payment.<br\/>4.3. LATE PAYMENT PENALTIES<br\/>For any payment made late, whether in whole or in part, late payment penalties shall apply in an amount resulting from the application of an interest rate equal to the rate applied by the European Central Bank, increased by 10 percentage points, calculated monthly.<br\/>In addition, all overdue payments shall require the Customer to pay a fixed debt recovery charge corresponding to 15% of the total invoice amount and, in all cases, a minimum amount of \u20ac40.<br\/><br\/><br\/>5. DELIVERY<br\/>5.1. INCOTERM<br\/>Delivery conditions shall be governed by the Incoterm in force on the date of our order confirmation.<br\/>In the absence of a delivery condition specifically agreed in the order confirmation, delivery shall be deemed FCA at our warehouse in Cedrim, Portugal.    <br\/>5.2. DELIVERY CONDITIONS<br\/>Delivery may be subject to shipping costs. This amount shall be determined according to the value of the order, the destination of the goods and any applicable customs and administrative charges.<br\/>5.3. TRANSFER OF RISK<br\/>Whether the goods are collected or delivered, they shall travel at the buyer\u2019s risk.<br\/>Where transport is included in the price, PECTA, together with its service providers, shall assume the risk during transport in accordance with the agreed Incoterm, provided that the buyer checks the number and condition of the packages in the presence of the carrier and records any reservations on the delivery document, which must be signed by the buyer and countersigned by the carrier or its representative. Such reservations must also be confirmed by registered letter within 2 days.<br\/>Without prejudice to any action to be taken against the carrier, any claim concerning apparent defects or non-conformity of the delivered goods must be submitted by registered letter with acknowledgement of receipt within 48 hours of receipt of the goods.<br\/>Once this period has elapsed, no claim relating to such defects shall be considered.<br\/>5.4. LATE DELIVERY<br\/>Regardless of the agreed delivery date, no compensation may be claimed for late delivery unless otherwise expressly agreed by us.<br\/>If the order requires assembly, specific work or any other individual requirement, delivery shall be subject to a feasibility assessment and the delivery period may be extended.<br\/>In all cases, delivery within the stated delivery period or release of the goods may only take place if the buyer is fully compliant with their payment obligations towards our company.<br\/>We reserve the right to make full or partial delivery of the order. In the event of partial delivery, each delivery shall be considered a complete commercial transaction.    <br\/>Payment shall be due in proportion to the quantity delivered. <br\/>5.5. Returns<br\/>5.5.1. No return of goods will be accepted unless a claim has first been submitted and accepted by us.  <br\/>5.5.2. If agreed by us, the goods must be returned within 15 days from the date of our agreement, in their original packaging or in packaging equivalent to the original. <br\/>If the claim is justified, the returned goods will be replaced or a credit note will be issued, at our discretion. <br\/>The buyer is solely responsible for any damage to the goods resulting from storage under abnormal conditions or conditions incompatible with their nature. <br\/>5.5.3. Deduction<br\/>Returns made under these conditions will be subject to a minimum deduction of 25% for restocking, provided that the goods can be resold in their existing condition. Otherwise, the goods must be inspected to determine the amount of any additional deduction required for reconditioning and refurbishment.  <br\/> <br\/>6. RETENTION OF TITLE<br\/>PECTA retains ownership of the goods delivered until their full cost has been credited to PECTA\u2019s accounts. <br\/>During the retention-of-title period, since the risks are transferred upon delivery, the buyer, as recipient of the goods, must insure them against all risks of damage or liability. <br\/>The buyer, who is authorised to sell the goods delivered in the ordinary course of business, is required to immediately inform our Company of any seizure by third parties of goods delivered subject to retention of title. <br\/>In the event of non-payment of part or all of any instalment agreed in respect of the price, and eight days after the total or partial failure to comply with a formal notice sent by registered letter, the sale may be automatically cancelled if PECTA deems it appropriate, without prejudice to any damages and interest claimed from the buyer.<br\/>The goods must be made immediately available to PECTA, unless PECTA requires their return at the buyer\u2019s expense. The return of the goods shall not constitute cancellation of the sales contract. Any amounts already paid by the buyer shall be retained as initial compensation for damages and interest, without prejudice to any further damages.<br\/>These provisions shall not prevent the transfer to the buyer of the risk of loss or deterioration of the products sold, or of any damage they may cause, as provided for in Article 5 above.<br\/>7. FORCE MAJEURE<br\/>PECTA shall be released from its obligations in the event of any circumstance beyond its control that prevents or delays delivery of the products and which is contractually regarded as force majeure.<br\/>This shall include, in particular, events occurring internally or affecting our subcontractors, such as lock-outs, strikes, fires, epidemics, embargoes, accidents, particularly those involving tools, machinery breakdowns, interruption or delay in transport, inability to obtain supplies, defects in raw materials, or any other event beyond our control resulting in the partial or total lay-off of PECTA employees or those of our suppliers or subcontractors.<br\/>8. INTELLECTUAL PROPERTY RIGHTS<br\/>The buyer undertakes to respect all intellectual property rights belonging to PECTA, of which the buyer acknowledges being aware.<br\/>9. WARRANTY<br\/>For use considered to be normal, our warranty shall be limited to the replacement of parts recognised as defective within a period of two years or longer, depending on any warranty extensions applicable to certain product ranges, without PECTA being liable for any claim for compensation.<br\/>Dismantling costs, return transport costs and reassembly costs are excluded from the warranty.<br\/>10. SPARE PARTS<br\/>Where a product supplied by us is discontinued by PECTA or by its manufacturer, PECTA shall not be liable for meeting any subsequent after-sales service requirements.<br\/>11. RECOMMENDATIONS<br\/>Any advice, technical guidance or proposals that we may provide or make shall not imply any warranty on our part.<br\/>It is not our responsibility to assess the specifications or descriptions provided. It is the customer\u2019s responsibility to verify that the equipment is suitable for operation under the actual conditions of use.<br\/>12. JURISDICTION \u2013 APPLICABLE LAW<br\/>12.1. It is expressly agreed that exclusive jurisdiction over all disputes arising between the parties during the course of their commercial relationship shall lie with the Portuguese courts, in particular the Judicial Court of the District of Aveiro, irrespective of the place of delivery, the accepted method of payment, any claims made under warranty, or the existence of multiple defendants.         <br\/>12.2. Relations with the buyer shall be governed by Portuguese law. <br\/>If these conditions are translated into a foreign language, the Portuguese version shall be the only authentic and legally binding text. <\/p>\n","protected":false},"excerpt":{"rendered":"<p>1.
